Art. 1. Preliminary definitions and acceptation of the General Sales Conditions

Any online order placed with SCRIPO-BAY on www.scripo-bay.com will be exclusively governed by the following general terms and conditions (the “General Sales Conditions”).

The client is responsible for the use of this web site, and agrees not using it for a prohibited purpose.

These General Sales Conditions are available on the SCRIPO- BAY website front page.
SCRIPO-BAY (“the seller”) is a registered as a “micro-entreprise” (French Law) in the Paris Trade an Companies Register under SIREN number 504 112 632.  SCRIPO-BAY, headquartered at 52, rue de Miromesnil 75008 PARIS is fully owned by M. Pierre RENELIER.

Accordingly, placing any order on this web site entails the client's complete, unconditional and irrevocable acceptance of these General Sales Conditions. These General Sales Conditions prevail over any conditions stipulated in any other SCRIPO-BAY’s documents (catalog, brochure, …).

To be valid, any departure from these General Sales Conditions must be subject to the prior written agreement of SCRIPO-BAY.

SCRIPO- BAY reserves the right to alter these General Sales Conditions without prior notice. They will apply to any online order placed by the client after communication of the modified General Sales Conditions.

Art. 2. Price

All of the prices of SCRIPO-BAY are stated in Euros, including VAT.

Notwithstanding anything to the contrary, the displayed prices are ex works and exclude shipping and handling costs (packaging, freight, insurance, customs,…) which are added to the total order at confirmation.

The offer and the prices remain valid as long as products are advertised on www.scripo-bay.com.
The prices stated in the order confirmation are definitive.

SCRIPO-BAY reserves the right to modify the prices at any time, without notice, but the products will be charged on the basis of the prices in effect at the time the order is approved, subject to availability of the said products.

Art. 3. Order processing

The system of automatic recording of order of  www.scripo-bay.com is regarded as valid proof of the nature, content and the date of the order.

The seller shall not be bound by the client’s order until he sends written confirmation that he agrees to process the order.

SCRIPO-BAY reserves the right to subject the order to other conditions, to suspend or refuse it, notably if the order proves to be incomplete, if the data supplied are obviously erroneous, if the client has failed to pay previous orders, or for any reason that SCRIPO-BAY may see fit.

Order processing steps

All orders shall be made online through the available form on www.scripo-bay.com with personal user name and password.

Client must provide all necessary information for proper delivery (e.g. detailed address, building access code, ...)

By placing an order, the client acknowledges product price, features and conditions as stated on the website. Placing any order on this web site entails the client's complete, unconditional and irrevocable acceptance, subject to client’s right of withdrawal (see  Art. 8. Right of withdrawal, claims and merchandise returns).

Client enters proper payment information and confirms the order by clicking on “Validate”.
The client receives from SCRIPO-BAY an “Order Acknowledgment” by email which includes products ordered, price , conditions relating to the right of withdrawal, after-sales and warranties.
Orders shall not be final until they have been confirmed by SCRIPO-BAY and payment of the price by the client. Any order will be confirmed only after payment.

Art. 4. Availability, delivery dates and liability

Standard delivery time is 3 working days.

Delivery dates and periods stated by us are indicative non-binding unless agreed otherwise.

Binding dates are not fixed dates if they are not expressly stated as such.

In the event of the product being temporarily unavailable (out-of-stock), SCRIPO-BAY shall contract the client by email within 10 days subsequent to the acceptance of the client’s order.
The buyer is entitled to partial or complete cancellation of the order and may seek for reimbursement of amount paid.

In the event of a permanent unavailability of the product, SCRIPO-BAY shall contract the client by email. This latter will be offered either the delivery of a replacement product of similar or greater quality, or to be refunded.

Under no circumstances will SCRIPO-BAY’s liability go beyond this exchange/reimbursement. Furthermore,

SCRIPO-BAY cannot be held liable for any loss or indirect damage of any kind, such as loss of profit or loss of clientele.

Art. 5. Shipping

Products are shipped to the delivery address specified in the order. SCRIPO-BAY may organize worldwide shipping. Shipping and delivery costs indicated include V.A.T.

The client shall immediately examine the goods upon receipt by either the client or a third party and report visible defects immediately to SCRIPO-BAY in writing.

Partial deliveries are permitted where this is not unreasonable for the client.

Art. 6. Conditions and payment guarantee

The client agrees to pay for all confirmed bookings and orders made on line.

Orders are payable by check, major credit card (Carte Bleue, Visa, Eurocard/Mastercard), PayPal or wire transfer.

The client expressly acknowledges that the order will be shipped only after SCRIPO-BAY has received the payment. If no valid payment is received after 10 days following confirmation of the order SCRIPO-BAY reserves the right to consider the outstanding orders as null and void.
Therefore, any delay in the payment will automatically delay the delivery time of the order, delay which may in no way be attributed to SCRIPO-BAY.

Unless otherwise agreed between the parties, the bank transfer costs and the check processing costs will be borne by the client.

All direct or indirect costs from the non-compliance with the payment terms, such as for instance, additional delivery costs or payment rejection costs, will be borne by the client.

Art. 7 Secured online credit card payment

Payments by credit card are made using the secured payment system (SSL) provided. The client’s credit card number going through our SSL payment system is known by our Bank only.

No credit card number is communicated to SCRIPO-BAY.

Any rejected payments will trigger automatic cancellation of the order and client is informed by email.

Art. 8. Right of withdrawal, claims, returns and refunds

SCRIPO-BAY shall be notified in advance of any cancellation of an order by phone or email.

Claims must be sent in writing within 7 working days following receipt of the ordered product (withdrawal period as specified in Art L 121-16 of the Consumer Law), otherwise the products are deemed accepted by the client.

Acceptable claims must include order n°, first and last name, address, phone number.

Products must be returned with the written claim in their original packaging and condition by registered mail (or equivalent method if value exceeds 25 €).

Return of products torn, damaged, soiled by the client or without proper claim information are not accepted.

All returns are at client’s expense.

Subject to provision of Art. 11 below, should the delivered product differ from the product specified in the order confirmation, SCRIPO-BAY will pay for the return shipping costs.

In case of cancellation of an order not justified by force majeure (see Art. 10 below) the client will be informed and will receive a credit note for the amount of the order placed less any shipping charges.

Credit notes may be applied against future orders or the client may seek for reimbursement of the credit note amount within 30 days.

In the event of SCRIPO-BAY needing to issue a refund we will endeavor to refund our client within 15 working days.

Refund will be made by credit to the client’s account (credit card payments), by cancelation of the transaction (Paypal payments) or by a check drawn to your order (otherwise).

Art. 9. Place of jurisdiction, applicable law

These General Sales Conditions and the contracts to which they apply are exclusively governed by French law. Applicable language is French.

The Courts of Paris shall have exclusive jurisdiction for any dispute between the parties with respect to these General Sales Conditions and the contracts to which they apply.

Art.10.  Force Majeure - Hardship

SCRIPO-BAY shall not be held responsible for loss, damages or delivery issues due to force majeure.

Force majeure is any unforeseeable event beyond the reasonable control of SCRIPO-BAY that affects the performance of its obligations, including but not limited to natural disasters, riots, wars and military operations, national or local emergencies, actions or omissions of the public authorities, economic disputes of whatever nature, actions of employees, fire, flooding, lightning, explosions, collapses, as well as any action or omission of a person or entity beyond the reasonable control of SCRIPO-BAY within the third parties from which it procures.

If SCRIPO-BAY is prevented from fulfilling its obligations due to force majeure the client can elect to cancel the order without the client being entitled to claim any indemnification whatsoever.

Art. 11. Intellectual Property - Illustrations

Products advertised on the SCRIPO-BAY website are not binding. SCRIPO-BAY cannot be responsible for errors in typography or photography.

Serial number may vary. Differences in respect of the sizes, shades, color, appearance and conditions are expressly tolerated by the client due to the nature of the goods.

Client shall contact SCRIPO-BAY with any question before proceeding.

Art. 12 Privacy policy

In accordance with French law on Information Technology, Data Files and Civil Liberties (“Loi n°78-17 du 6 janvier 1978” as amended on August 6, 2004), SCRIPO-BAY made required declaration to the CNIL authority under number XXXX regarding the www.scipo-bay.com website.

No personal information is requested by SCRIPO-BAY. The private information requested by SCRIPO-BAY during the ordering process is necessary to process bookings and orders payments and shipping.

By submitting information in connection with an order, you are giving SCRIPO-BAY an unrestricted right to use such information to the extent necessary to consider your order and respond to your request.

SCRIPO-BAY undertakes not to disclose or give other third parties access to any private information collected.
